Dormant companies or companies have not been traded or change their names in the last 3 months may apply to strike off from Companies House register if the directors no longer want to maintain the company filing requirements with the Registrar of Companies.
Dormant or non trading companies have the same filing requirement of active companies that they are required to file Annual Return and dormant accounts to Companies House every year. The penalty for failing to provide those statutory documents to Companies House within deadlines will result in the company being fined and incur late filing penalty. The directors risk of prosecution.
Companies House will automatically proposed to strike off companies that failed to file annual return after several reminders in particular if mails sent to the company registered office get returned to Companies House plus the company directors failed to response to letters sent to their residential address service address on time.
Companies applying to be removed from public register must send in Form DS01 and majority of the directors must sign the dissolution form. The striking off process takes about 6 months provided no objections from any other interested parties.
