Companies House automatically issue late filing penalty notice to LLP that submit their accounts late. If you received a late filing penalty notice and the reason for the delayed in submission was out of your control and it was an exceptional circumstance then there is a good chance of your appeal will be accepted.
Your appeal must be in writing. Companies House will normally reply within 10 working days and they will suspend recovery action while they are considering your appeal.
What is exceptional?
The registrar has very limited discretion not to collect a penalty. It may be applied when an unforeseen catastrophe strikes an LLP at a critical time. This might include, for example, a fire destroying records a few days before the filing deadline.
What is not exceptional?
The registrar will not consider your appeal if your reasons of delayed in filing your LLP accounts was one of the following as they are outside his discretion:
- You LLP is dormant.
- You cannot afford to pay;
- Your accountant was ill;
- You relied on your accountant;
- These are your first accounts;
- You are not familiar with the filing requirements;
- Your LLP or its members have financial difficulties (including bankruptcy);
- Your accounts were delayed or lost in the post;
- The members live or were travelling overseas;
- Another member is responsible for preparing the accounts.
