What would happen if your Annual Return is filed late?

Companies House will place your limited company or limited liability partnership on proposal to be struck off and be official removed from Companies House register.

The directors' credit rating and the company or limited liability partnership will be affected once the proposal to be struck off is published in the Gazette. This will not be good if you wish to seek financial help to grow your business in the future.

It is also a criminal offence for deliberately not filing your company or limited liability partnership annual return. The company directors risk of being prosecuted and a fine up to £5000.

You do not wish to keep your dormant company any more

If you do not wish to maintain or keep your company or limited liability partnership and that your company or limited liability partnership is dormant or it has not been traded for at least three months, you may apply for your company or limited liability partnership to be dissolved legally. The benefits of dissolving your company voluntarily are that you are not required to file accounts or annual return after your company or limited liability partnership is closed down.
